Terms of Service

The agreement between you and Roohly.

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "Member") and ROOHLY (SMC-PRIVATE) LIMITED, a single member private limited company incorporated under the Companies Act, 2017 (CUIN 0343183), Suite No. 1, 6th Floor, M-30 Moon Tower, M Block, International Market, Model Town, Lahore, Punjab, Pakistan ("Roohly", "we", "us").

By registering or using the Platform, you agree to be bound by these Terms together with our Privacy Policy, Community Guidelines, Verification Policy, Refund and Cancellation Policy, and Disclaimer. If you do not agree, you must not use the Platform.

2. Nature and Purpose of the Service

Roohly is an online matrimonial introduction service exclusively for adult Muslim individuals seeking a spouse for lawful marriage (nikah) in accordance with Islamic principles. It is not a dating, casual-relationship, companionship, or social-networking service.

Roohly's role is that of a neutral technology intermediary. The Company:

All decisions regarding whether to communicate with, meet, or marry any Member rest solely with the Members concerned and their families. We strongly encourage involving parents, guardians, or wali at the earliest appropriate stage.

3. Eligibility

To register and use the Platform, you represent and warrant that you:

Minors are strictly prohibited from using the Platform. Any account discovered to belong to a minor will be terminated immediately and the associated data deleted.

Registration on behalf of another person (e.g. by a parent or guardian) is permitted only where that person is an adult, has given informed consent, and the registering person accepts responsibility for compliance with these Terms.

"User Content" means all information, text, photographs, documents, biodata, messages, and other material you submit on the Platform.

You retain ownership of your User Content. By submitting it, you grant Roohly a non-exclusive, royalty-free, worldwide licence to host, store, and display such content solely for the purpose of operating and providing the Platform. This licence terminates when the content is deleted.

You represent and warrant that:

Roohly reserves the right, but assumes no obligation, to review, moderate, edit, refuse, or remove any User Content at its sole discretion.

Roohly may offer identity- and document-based verification features as described in the Verification Policy.

Verification is not an endorsement. A verification badge indicates only that certain documents were submitted and reviewed at a point in time. It does not constitute a criminal-record check, character reference, medical clearance, or financial assessment — and it does not mean Roohly recommends that Member.

You remain fully responsible for conducting your own independent enquiries and due diligence before proceeding with any Member.

8. Subscriptions, Fees, and Payment

Certain features may be available only to Members holding a valid paid Subscription. Prices and plan details are displayed on the Pricing page and may be varied from time to time; any variation shall not affect a Subscription already purchased for its current term.

Payments are processed by bank transfer and reviewed by our team. Roohly does not store your card or wallet credentials.

Fees are charged for access to Platform features for the applicable period — not for any outcome. No fee is refundable on the ground that a Member did not receive a response or find a match. Refunds are governed exclusively by the Refund and Cancellation Policy.

9. Suspension and Termination

By you: You may delete your account at any time through account settings or by writing to info@roohly.com.

By us: The Company may restrict, suspend, or terminate your account, with or without notice, where it has reasonable grounds to believe you have breached these Terms, provided false information, or your conduct poses a risk of harm to any Member or to the Platform.

Where an account is terminated for breach, no refund of any Subscription fee shall be payable. Sections 5, 7, 10, 11, 12, 13, and 14 survive termination.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform is provided on an "as is" and "as available" basis, without warranty of any kind. The Company does not warrant that the Platform will be uninterrupted, error-free, or free of viruses.

The Company makes no representation or warranty as to the identity, character, conduct, background, intentions, health, financial position, or suitability of any Member. Profile information is supplied by Members and is not independently established by the Company except as described in the Verification Policy.

11. Assumption of Risk

You acknowledge that interacting with other persons carries inherent risk and that the Company cannot control Member conduct. You use the Platform, communicate with, and meet other Members at your own risk and on your own judgement.

Any misuse of the Platform by a Member is a breach by that Member, committed without the knowledge or approval of the Company. To the fullest extent permitted by law, the Company bears no liability arising from such misuse.

12. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profit, revenue, data, or goodwill, howsoever arising.

Without limiting the above, the Company shall not be liable for any loss arising from:

Where liability cannot lawfully be excluded, the Company's aggregate liability shall not exceed the total Subscription fees paid by that Member in the twelve (12) months preceding the claim, or PKR 5,000, whichever is lower.

13. Indemnity

You agree to indemnify and hold harmless the Company, its director, officers, employees, and agents against any claim, loss, liability, or expense (including legal fees) arising from your use or misuse of the Platform, breach of these Terms, your User Content, or any dispute between you and another Member.

14. Intellectual Property

The Platform — including its name, logo, trade marks, design, source code, database, and all content excluding User Content — is the exclusive property of ROOHLY (SMC-PRIVATE) LIMITED. You are granted a limited, revocable, non-transferable licence to use the Platform for personal matrimonial purposes only.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Islamic Republic of Pakistan. The parties shall first attempt to resolve any dispute amicably by writing to info@roohly.com. Where unresolved within thirty (30) days, disputes shall be referred to the exclusive jurisdiction of the courts at Lahore, Punjab, Pakistan.
